The Latefunds Ventures Master Terms & Conditions

INTRODUCTION: BINDING AGREEMENT Welcome to Latefunds Ventures. This is a BINDING LEGAL AGREEMENT between you (the "User" or "Company") and Latefunds Ventures ("Provider," "We," "Us"). By accessing latefunds.ventures or using our AI-driven matching engine, you agree to these Terms. If you do not agree, you are not authorized to access our systems.

1. SCOPE OF SERVICE Latefunds Ventures provides a B2B platform that uses artificial intelligence to help startup founders ("Users") find investor matches based on User-provided data. Latefunds is not a broker-dealer, investment advisor, or financial institution. We do not provide legal or tax advice.

2. ELIGIBILITY & AUTHORITY

  • Professional Use Only: Latefunds is for business use. It is not for individual consumers.

  • Authority: If you represent a Company, you warrant that you have the legal power to bind that Company to this Agreement.

  • Accreditation: Syndicate access is restricted to Accredited Investors as defined by Rule 501 of Regulation D (US) or equivalent local laws.

3. PROPRIETARY AI SCORECARD & DATA

  • License to Process: You grant Latefunds a non-exclusive license to process your Startup data (Name, Description, Traction) through our proprietary LLM-driven models.

  • Benchmark Data: Latefunds owns all "Benchmark Data" (anonymized, aggregated data generated by our AI). We use this to improve the engine.

  • No Guarantee: Our AI scorecards are evaluative tools. They do not guarantee funding, accuracy, or future performance.

4. PROHIBITED CONDUCT (THE "SAFETY" CLAUSE) You are strictly prohibited from:

  • Using bots, scrapers, or spiders to crawl our matching database.

  • Attempting to reverse-engineer the Latefunds AI Scorecard logic.

  • Sharing your Login Credentials or providing false traction data (ARR, users, etc.).

  • "Ghosting" or harassing investors matched through the system.

5. SUBSCRIPTIONS & NO-REFUND POLICY

  • Automatic Renewal: Any paid advisory or platform subscriptions renew automatically. You must cancel before the next billing cycle via the "Manage Subscription" portal.

  • Non-Refundable: To the fullest extent permitted by law, all fees are non-refundable. We do not provide prorated refunds for partial months or dissatisfaction with AI-generated matches.

6. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

  • "As-Is": The service is provided "as-is" and "as available." We do not warrant that the service will be error-free or that OpenAI/LLM uptimes will be constant.

  • Risk: You assume all risk for damages or loss of data resulting from the use of our platform.

  • Liability Cap: In no event shall Latefunds' total liability exceed the fees paid by you in the 3 months preceding the claim.

7. INDEMNIFICATION You agree to indemnify and hold Latefunds Ventures harmless from any claims arising from your breach of this Agreement, your violation of any law, or any third-party claim that your Startup data infringes on their proprietary rights.

8. GOVERNING LAW & JURISDICTION This Agreement is governed by the laws of the State of Delaware (USA) and or Dublin, Ireland. Any disputes must be brought exclusively before the courts of that jurisdiction.
